          In addition to the highlighted policies and processes, Honeywell Flour Mills Plc has also implemented other policies,
          processes  and  governance  documents  which  further  strengthen  its  Corporate  Governance  structure.  They
          include:
            Ÿ  Conflict  of  Interest  &  Related  Party  Transactions  policy
            Ÿ  Code  of  Ethics  for  employees  and  the  Board  of  Directors
            Ÿ  Stakeholder  Management,  Engagement  &  Communication  policy
            Ÿ  Internal  Control  policy
            Ÿ  Claw  back  policy
            Ÿ  Robust  charters  fo r the  Board  and  Committees


          15. S Ÿtatement  of  Compliance  with  the  Nigerian  Code  of  Corporate  Governance
          In line with regulatory directives, Honeywell Flour Mills has submitted a report to the Financial Reporting
          Council,  the  Nigerian  Stock  Exchange  and  The  Securities  &  Exchange  Commission  on  the  extent  of  its
          compliance with the Nigerian Code of Corporate Governance. The report has also been uploaded to its
          website:   www.honeywellflour.com .
