REPORT OF THE AUDIT COMMITTEE TO
THE MEMBERS OF LEARN AFRICA PLC

In accordance with the provision of Section 404 (7) of the Companies and Allied
Matters Act 2020, we have examined the Audited Report for the year ended
31 March 2021.

We have obtained all the information and explanations we required.
In our opinion, the Auditor’s Report is consistent with our review of the scope and planning of
the Audit. We are also satisfied that the Accounting and reporting policies of the Company are
in accordance with legal requirements and agreed ethical practices.

Having reviewed the Auditor’s findings and recommendations on Management matters, we are
satisfied with Management’s responses thereon.

We acknowledge the cooperation of the External Auditors, Messrs Ernst & Young
(Chartered Accountants), Management and staff of the Company in perfoming our duties.
