Assumptions and clarifications

1 Programme – our offer is made on the basis of the scope of services listed in the proposal and excludes VAT
Insurance - we confirm we have the required insurances in place as follows:
• Employer’s Liability
• Public Liability

• Professional Indemnity
Please note that in common with the great majority, if not all, PI insurances, our policy is subject to an annual aggregate limit of cover as well as an annual aggregate limit for certain
things including asbestos and contamination/pollution.
3 Project Budget – Target store costs provided in the proposal
Liability - our aggregate liability to you under this appointment would be limited to the value of the PI cover we have in place. Our liability to you would also be limited to direct

costs and exclude liability in relation to indirect or consequential costs.
Design and Specification - our appointment excludes any design or specification/choice of materials services and does not include Principal Designer and/or Designer duties under

the CDM Regulations unless instructed under a separate appointment.
6 Third Party Warranties – Any sub consultants will each provide a third-party warranty to you as part of our offer

Pandemics/epidemics including Covid-19 – Our team is equipped and able to work on this project remotely. Please note we have the following in place to assist our clients and their
projects during pandemics/epidemics:
• the ability to meet remotely using Teams or Zoom
• a standard protocol for our people to travel to sites and carry out site visits

• an internal health and safety resource to advise us and our clients in relation to the various measures to be taken
However, please note that we have not included for any programme extensions or other potential effects or impacts of restrictions imposed as a result of pandemics or
epidemics. It is agreed between the parties that disturbances and consequences of pandemics or epidemics, including disturbances and consequences prior to or resulting from
events prior to the Effective Date of the Contract, are a legitimate cause for Artelia's exoneration from liability.
8 Contract – our offer is made on the basis of an appointment under a standard Artelia contract

Fee - our fee includes reasonable expenses and travel within the M25. For projects outside of this area we would back charge reasonable expenses or work to an agreed

budget. The rate per project will be reviewed annually and adjusted in consultation with the client to allow for inflation.
10 Payment – we will normally invoice you monthly in arrears and will agree an invoicing schedule with you. Our payment terms are 28 days.
11 Artelia 360 - All projects will be delivered via Artelia 360 reporting. There is no additional costs to the client.
