(e) Where any urgent matter requiring the approval of the Executive Committee
arises and it is not possible to convene a meeting, the Secretary may obtain
such approval by means of a circular email or any other forms of electronic
media. The following conditions must be fulfilled before a decision of the
Executive Committee is deemed to have been obtained:
i) the matter for discussion must be clearly set out in the circular and
forwarded to all members of the Executive Committee;
ii) at least one-half of the members of the Executive Committee must
indicate whether they are in favour or against the proposal;
iii) the decision shall be by a simple majority.
All decision made shall be reported by the Secretary at the next Executive
Committee meeting and duly recorded in the minutes thereof.
(f) Any member of the Executive Committee who fails to attend three consecutive
meetings of the Executive Committee without satisfactory explanation shall be
deemed to have resigned from the Executive Committee.
(g) In the event of the death or resignation of a member of the Executive
Committee, the candidate who received the next highest number of votes at the
previous election for the post affected shall be invited to fill the vacancy. If there
is no such candidates or if such candidate declines to accept office, the
Executive Committee shall have the power to co-opt any other member of the
Association to fill the vacancy until the next election is held.
(h) The elected Executive Committee may during its tenure in office, may
i) appoint not more than 3 members of the Association to serve on the
Executive Committee
ii) the appointed Executive Committee Members shall serve the
Association the same way as any other elected Executive Committee
Members.
iii) the appointed Executive Committee Members shall have no voting rights
if any matters of the discussion at the Executive Committee requires a
vote for a decision.
(i) The Executive Committee shall give instructions to the Secretary and other
officers for the conduct of the affairs of the Association. It may appoint such
organisers and such staff as it deems necessary. It may suspend or dismiss
any organiser or member of the staff for neglect of duty, dishonesty,
incompetence, refusal to carry out the decisions of the Executive Committee,
or for any other reason which it deems good and sufficient in the interest of the
Association.
(j) The Executive Committee shall be empowered to form or appoint any sub-
committee(s) it deems fit for the better managements of projects and activities
of the Association. The President, Secretary and/or any other members of
Executive Committee shall serve as ex-officio of the sub-committee(s).
(k) The Executive Committee shall be empowered to set up any specific Funds that
shall benefit members of the Association and/or the community at large. Such
new set-up of Funds shall be confirmed at the next annual general meeting.
(l) It shall give instructions to the Trustees regarding the use or disposal of the
immovable property of the Association.
(m) Between annual general meetings the Executive Committee shall interpret the
rules of the Association and, when necessary, determine any point on which
the rules are silent.
