INTELLECTUAL PROPERTY & INVENTION ASSIGNMENT AGREEMENT



                       This INTELLECTUAL PROPERTY & INVENTION ASSIGNMENT AGREEMENT (“Agreement”),

               is dated and made effective as of _____________, 2015 (the “Effective Date”), by and between

               (“Employee”) and GENESYS Industrial Corporation (“Employer”).


                                                          RECITALS



                       WHEREAS, Employer has offered Employee employment with Employer and Employee
               has accepted.



                       NOW THEREFORE, as a requirement of and in consideration for Employee's future and
               continued employment by Employer and the mutual agreements, covenants and promises set

               forth herein and other good and valuable consideration, the receipt and sufficiency of which

               the parties hereby acknowledge, the parties agree as follows:



               A.  Employee Acknowledgements.
                   1.  Employee Acknowledges:

                       a.  Employer engages in a highly competitive and technical business, and success in this

                          business  requires  the  cooperation  and  interaction  of  employees  with  skills,
                          knowledge, and expertise in various specialized and technical areas.

                       b.  It  is  Employer’s  policy  to  encourage  the  free  exchange  of  information  and

                          cooperation  among  its  employees,  with  a  minimum  of  restrictions  within  the

                          company.

                       c.  Performance  of  Employee’s  duties  may  involve  the  discussion  of  valuable
                          confidential  and  proprietary  information,  such  as  product  development  plans,

                          techniques, protocols, formulations, and other know-how.

                       d.  During the course of employment, valuable and extensive relationships, both formal
                          and informal, may be formed between Employee and Clients (as defined below) of

                          Employer.

                       e.  During the course of employment, Employee may conceive, develop, or reduce to

                          practice Inventions (as defined below).
