CONFIDENTIAL INFORMATION AND COMMUNICATIONS POLICY

As an employee of GENESYS, I understand and acknowledge that:

1. My duties and responsibilities may involve access to information and material that
pertain to GENESYS or other employees and is not generally known to or readily
ascertainable to others.

2. In the course of my employment, I may receive, record or maintain information or
material that GENESYS considers confidential. The term “Confidential Information”
means any and all of GENESYS’s trade secrets, confidential and proprietary information
and all other information and data of GENESYS that is not generally known to third
persons who could derive economic value from its use or disclosure, including, but not
limited to, confidential business methods and processes, research and development
information, lists of customers, information pertaining to customers, GENESYS’s
personnel records or information taken from such records, marketing information, pricing
information, cost information, information pertaining to GENESYS’s relationships with
business partners, business plans, financial information, operations information and
information about prospective customers or prospective products or services, whether or
not reduced to writing or other tangible medium of expression, including work product
created by any employee in rendering services for GENESYS. I acknowledge that the
Confidential Information is valuable, special and unique asset of GENESYS. I
understand and agree that GENESYS owns the Confidential Information and that I have
no rights, title or interest in any of the Confidential Information. At GENESYS’s request
or upon termination of my employment with GENESYS, I will immediately deliver to
GENESYS any and all materials (including copies and electronically stored data)
containing any Confidential Information in my possession, custody or control.

3. My disclosure of information about another employee’s communicable or dangerous
disease in some states may be subject to criminal charges. I understand and acknowledge
that GENESYS regards and treats such information as Confidential Information.

4. It is the policy of GENESYS that all employees who have access to (or who learn about)
Confidential Information treat such information as confidential. I understand that such
information is to be safeguarded and I will not discuss or disclose Confidential
Information to anyone, except as may be required or authorized by law. I understand that
unauthorized disclosure of Confidential Information may subject any employee to
disciplinary action, up to and including discharge from employment. I understand that my
confidentiality obligations shall continue as long as the Confidential Information remains
confidential, and shall not apply to any information which becomes generally known to
the public through no fault or action of mine.
