THE BY-LAWS OF THE POST COLLEGE
ALUMNI ASSOCIATION
ARTICLE I
MEMBERSHIP
1. Members. All persons who have attended Post College the equivalent of not less than two
(2) semesters and whose class has graduated and all persons who are graduates of Post
College are Members of the Association. Each Member shall be entitled to vote at all meetings
of the Association and shall have all rights and privileges of membership. Persons who are not
Members, but who have demonstrated various interests in Post College, may be elected as either
Associate or Honorary Members of the Association by the Executive Committee. Associate and
Honorary Members shall not be entitled to vote at any meeting of the Association nor shall they
be eligible to hold office in the Association, but they shall have all other rights and privileges of
membership.
ARTICLE II
MEETINGS OF MEMBERS
1. Annual Meeting. The annual meeting of Members shall be held at the principal office of the
Association at Waterbury, Connecticut, or at such other place as shall be designated in the notice
of such meeting, on such day and at such time as shall be designated in said notice, or if no day
or time is so designated, then at eleven o’clock AM. local time on the Saturday of June reunion
weekend. The election of officers, Members-at-Large, and the conduct of such other business as
may be properly brought before the meeting, shall take place at the annual meeting.
2. Special Meetings. Special meetings of Members may be called by the Executive Com
mittee; further, the Secretary shall call a special meeting of Members upon receipt of a petition
therefor signed by ten (10) Members. Each special meeting shall be held on such day, at such
time, and at such place as shall be designated in the notice thereof. When called by the Secretary
upon petition of ten (10) Members as aforesaid, such meeting shall take place within six (6)
months after receipt of such petition by the Secretary.
3. Notice of Meeting. The Secretary shall give notice of the date, time and place of each
meeting of Members to each Member whose address is listed in the Association records by
depositing same in the U.S. Mail, postage prepaid, directed to such Member at his or her address
as contained in the Association records, not later than thirty (30) days prior to the date of such
meeting.
4. Quorum. Twenty (20) Members shall constitute a quorum for transaction of business at any
meeting of Members; provided, that less than a quorum of Members may adjourn any such
meeting from time to time, but notice of each such adjournment shall be given to Members in the
manner provided above. Presence of any Member at a meeting by proxy or by mailed ballot shall
constitute presence at such meeting for purpose of determining whether a quorum is present, as
well as for all other purposes.
5. Voting. Each Member shall be entitled to one (1) vote. Voting may be in person or by proxy
or by mailed ballot Except where otherwise provided herein or in the Articles of Association, a
proposition shall be deemed approved when approved by a majority of Members present and
voting at a meeting duly called, a quorum being present.
6. Conduct of Meetings. The President of the Association shall call meetings of Members to
order and shall preside at such meetings. In the absence of the President the President-Elect
shall preside. In the absence of the President and the President-Elect, a presiding officer shall be
selected by vote of the Members present The Secretary of the Association shall record the
minutes of all meetings of Members. In the absence of the Secretary, the presiding officer shall
designate a Member to act as secretary of the meeting.
