(d) plan and conduct Alumni functions;
      (e) plan and conduct Alumni programs;
      (f) plan and conduct Annual Alumni Fund activities;
      (g) budget, invest and expend Association funds;
      (h) cooperate with the administration of Post College; and
      (i) generally, promote Post College.
      2.  Composition.  The Executive Committee shall be composed of the officers, the  Immediate
      Past President and six (6) Members-at-Large.
      3.  Ex-Officio  Members.  The following shall  be non-voting ex-officio members of the Exec­
      utive Committee: one (1) officer of each Alumni Club designated by such club; one (1) officer of
      the Post College faculty’s governing  body designated by such  body;  and two  (2) full time  un­
      dergraduate students officers of the Post College students’ governing body designated by such
      body; provided that no such ex-officio member shall serve more than two (2) one (1) year terms.
      4.  Meetings.  The  Executive Committee shall  meet not  less than four (4) times per year on
      such notice and at such time and place as it shall determine. A majority of the whole number  of
      the voting members of the Executive Committee shall constitute a quorum for the transaction of
      business.
      5.  Terms and  Election of Members-at-Large.  Each Member-at-Large shall serve a term  of
      three  (3)  years  commencing  on  the  July  1  first  following  his  or  her  election.  Two  (2)  such
      Members-at-Large shall be elected each year by the Members at the annual meeting. Not  less
      than one (1) Member-at-Large elected each year shall be a Member of one of the five (5) then
      most recently graduated classes of Post College. No Member-at-Large shall serve more than two
      (2) consecutive terms. All Members-at-Large shall be Members.
      6.  Vacancies.  If  any Member-at-Large shall  die,  resign  or  be  removed  from  office, the  Ex­
      ecutive Committee shall elect a successor to serve the unexpired portion of his or her term.
                                        ARTICLE VI
                              NOMINATION AND ELECTION
      1.  Nominating  Committee.  The  Nominating  Committee  shall  be  composed  of  five  (5)
      members  appointed  by the  President. The  President  shall  also  appoint the  Chairperson  from
      within the committee membership prior to November  1 st of each year.
      2.  Terms  of  Appointment.  Each  appointed  Nominating  Committee  Member  shall  serve  a
      term of two  (2) years.
      3.  Vacancies.  If  any  appointed  Nominating  Committee  Member  shall  die,  resign  or  be  re­
      moved from office, the President shall appoint a successor to serve the unexpired portion of his
      or her term.
      4.  Meetings of the Nominating Committee.  The Nominating Committee shall meet at  such
      times as the Chairperson and Members shall determine.
      5.  Nominations.  Each year the Nominating Committee, by vote of a majority of its Members,
      shall nominate one (1) member for such offices and Members-at-Large positions as are required
      (except President) by the By-laws and shall deliver written notice of the names and  addresses
      of the nominees to the Secretary not later than March  1.
      6.  Notice of Nominations.  The Secretary shall give notice of the names and addresses of the
      nominees  to  each  Member  whose  address  is  listed  in  the Association  records  by depositing
      same in the U.S. Mail, postage prepaid, directed to such Member at his or her address as  con­
      tained in the Association records,  not later than the March 31  first following such  nominations.
