ARTICLE III
OFFICERS
1. Enumeration of Officers. There shall be a President, a President-Elect, a Vice President,
a Treasurer and a Secretary. All officers shall be Members.
2. Election and Term. All officers except the President shall be elected at the annual meeting
for a term of two (2) years. The President-Elect shall automatically succeed the President for a
two (2) year term. All other officers shall serve not more than two (2) consecutive terms in any
one (1) office. Each term shall commence on the July 1 first following election and shall continue
through the June 30 two (2) years hence or until a successor is elected, if later.
3. Vacancies. If any officer shall die, resign, or be removed from office, the Executive Com
mittee shall elect a successor to such officer to serve the unexpired portion of the term of such
officer; provided, that if the President-Elect shall die, resign or be removed from office, such office
shall remain vacant during the balance of his or her term, and notwithstanding anything to the
contrary herein contained, the President shall be nominated as herein provided and elected at
the next following annual meeting of Members.
ARTICLE IV
POWERS AND DUTIES OF OFFICERS
1. President. The President shall preside at all meetings of Members and at all meetings of the
Executive Committee. He or she shall have such other authority and shall perform such other
duties as these by-laws shall provide and as the Executive Committee shall determine from time
to time.
2. President-Elect. In the absence of the President the President-Elect shall have all au
thorities and perform all duties of the President. He or she shall have such other authority and
shall perform such other duties as these-by-laws shall provide and as the Executive Committee
shall determine from time to time.
3. Vice President. The Vice President shall have such authority and shall perform such duties
as these by-laws shall provide and as the Executive Committee shall determine from time to
time.
4. Treasurer. The Treasurer shall have custody of all funds of the Association. He or she and
such other person or persons as these by-laws or the Executive Committee shall determine from
time to time shall sign all checks, drafts and other obligations of the Association for payment of
the Association’s funds. He or she shall perform such other duties as these by-laws shall provide
and as the Executive Committee shall determine from time to time.
5. Secretary. The Secretary shall record the minutes of all meetings of Members and of all
meetings of the Executive Committee. He or she shall have such other authority and shall
perform such other duties as these by-laws shall provide and as the Executive Committee shall
determine from time to time.
ARTICLE V
EXECUTIVE COMMITTEE
1. Powers and Duties. The entire management and conduct of the business and affairs of the
Association shall be vested in the Executive Committee which, except as may be otherwise
provided by the Articles of Association, these by-laws or the laws of the State of Connecticut,
shall exercise all of the powers of the Association. Without limiting the generality of the foregoing,
the Executive Committee shall:
(a) maintain records of names and addresses of and other pertinent data concerning Members;
(b) plan and publish Alumni publications;
(c) promote and coordinate Alumni Clubs;
